The rules for using nexurion.io and the Field Notes. Paid engagements are governed by separate written contracts, not this page. We have tried to keep this short and readable.
These Terms govern your use of nexurion.io, the Field Notes newsletter, and any other content or service we provide through this website (collectively, the “Site”). By using the Site you agree to these Terms. If you do not agree, please do not use the Site.
The Site is operated by Nexurion, LLC, a Massachusetts limited liability company (“Nexurion,” “we,” “us”), 111 Speen Street, 2nd Floor, Framingham, MA 01701, USA.
This is important. The Site is informational. Reading this site does not create a client relationship. Submitting a scoping form does not create a client relationship. Nexurion Field Notes does not create a client relationship. A client relationship begins only when both parties have signed a written engagement letter or master services agreement.
You agree to use the Site only for lawful purposes. You will not:
The Site, including all editorial content, the Field Notes, page layout, graphics, code, and the Nexurion name, marks, and wedge logo, are owned by or licensed to Nexurion and are protected by US and international intellectual property law. Subject to these Terms, we grant you a personal, non-exclusive, non-transferable, revocable license to access and view the Site for non-commercial informational purposes.
You may quote short excerpts of Site content with attribution and a link back. You may not republish entire briefs, framework guides, or methodology pages without written permission. The work product we deliver in a paid engagement is governed by the engagement contract, which typically grants you a perpetual, royalty-free license to use deliverables internally; that grant is contractual, not implied by use of this Site.
If you subscribe to the Field Notes, we will email you periodic editorial content. You may unsubscribe any time using the link in every email. Subscribing is not a contract for services. Editorial content reflects our views as of the date of writing; we may update positions as the regulatory and threat landscape evolves.
The Site links to third-party sites (regulators, standards bodies, vendors, news outlets) for context. We do not control those sites and are not responsible for their content, availability, or practices. A link is not an endorsement.
Nothing on this Site is legal advice. Nexurion is not a law firm. We work alongside privacy counsel, breach counsel, regulatory counsel, and outside law firms during paid engagements; the Site's content is editorial and informational. Compliance and security obligations vary by jurisdiction, sector, contract, and fact pattern. Consult qualified counsel before acting on anything you read here.
The site is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, nexurion disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the site will be uninterrupted, secure, or error-free, or that any defect will be corrected.
To the fullest extent permitted by law, Nexurion will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of the site, even if Nexurion has been advised of the possibility of such damages.
Nexurion's total cumulative liability arising out of or relating to your use of the site (as opposed to a paid engagement) will not exceed one hundred US dollars (US$100.00). Liability for paid engagements is governed by the engagement contract.
Some jurisdictions do not allow the exclusion or limitation of certain damages. If those laws apply to you, some or all of the above exclusions or limitations may not apply, and you may have additional rights.
You agree to defend, indemnify, and hold harmless Nexurion and its officers, members, and employees from any claim, demand, or expense (including reasonable attorneys’ fees) arising out of your breach of these Terms or your unlawful use of the Site.
These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to the Site or these Terms will be brought exclusively in the state or federal courts located in Middlesex County, Massachusetts, and you consent to personal jurisdiction there. The UN Convention on Contracts for the International Sale of Goods does not apply.
We may update these Terms from time to time. The “effective” date at the top reflects the current version. Material changes will be posted on the homepage; for newsletter subscribers, by email. Continued use of the Site after changes take effect means you accept them.
